1. Definitions, documents and hierarchy

1.1. Learnix is the CONTRACTOR; Platform is the digital environment (web/app); Plan is the set of contracted services; Summary Sheet individualizes the offer. The term and the AI allowance are those accepted therein. 1.2. The contract comprises the signed Summary Sheet, the applicable Commercial Annex, the class calendar identified by version, any amendment and the platform terms regarding technological use. In case of conflict, the law, this contract and the specific conditions negotiated and expressly accepted prevail, respecting consumer protection where applicable. 1.3. The commercial proposal and annexes bind only in the version incorporated at signing. Unilateral updates to price tables do not change prices for periods already contracted.

2. Educational services

2.1. Learnix will provide synchronous online classes, individual or in groups, in the languages, levels, frequency, duration and schedules stated in the Summary Sheet, plus materials, pedagogical support and digital resources expressly included. 2.2. Classes take place in an online room or the indicated videoconferencing tool. The teacher may be replaced by a qualified professional, preserving essential conditions; substantial changes require communication and an adequate solution. 2.3. The assessment guides personalization. Participation, completion or level certificates depend on the published criteria; AI hours or activities do not by themselves certify proficiency. There is no guarantee of fluency, exam approval, employment or promotion.

3. Term, price and advance billing

3.1. The term is 3, 6 or 12 months as per the Summary Sheet. The period starts on the date stated there. The fixed monthly fee pays for the availability of the program at the contracted weekly frequency, which may produce different numbers of meetings depending on the weeks and the previously communicated calendar. 3.2. Advance payment: no new monthly period of paid services begins without confirmed payment or expressly approved valid corporate coverage. Full payments for the following months fall due on the 1st day of each competence period. 3.3. If service starts after the first day of the month, the first charge will be pro-rated: monthly fee x inclusive calendar days from the start to the last day of the month / number of calendar days in the month, disclosed before signing; the calendar of classes effectively planned for that first period will be presented, so that there is no charge disproportionate to what is delivered. The final period and the estimated total amount must expressly consider the contracted term, with no tacit extension. 3.4. Billing may occur by Pix, bank slip, card or another authorized means, with confirmation by a provider or auditable administrative record. Errors, chargebacks and duplicate payments will be reconciled without duplicate charging. 3.5. The contracting party may receive an electronic service invoice (NFS-e) issued under applicable tax rules and consult authorized invoices, receipts and contracts in the authenticated portal. Mandatory tax data will be provided in the onboarding of the payer. 3.6. Late payment may incur charges expressly informed, in accordance with applicable law, and collection by lawful means. Before prospective suspension of services, notice will be given and discrepancies handled; rights already constituted will not be erased.

4. Schedule, absences, make-ups and holidays

4.1. The calendar and schedules will be presented in advance. Holidays and recesses foreseen and incorporated into the offer do not generate make-ups or automatic discounts, respecting legally ensured rights and the overall balance of the service. 4.2. For individual classes, a cancellation/rescheduling request made at least 16 hours in advance may generate an eligible make-up credit; the make-up class must take place within 30 calendar days of the originally scheduled date. Late notice or unexcused absence normally counts as a class used, except for legal exceptions and documented extraordinary situations. 4.3. If Learnix or the teacher cancels, an equivalent alternative will be offered without deducting the student's credit. If Learnix does not offer feasible times before expiry, there will be no unjustified loss of credit; additional time, adjustment or pertinent refund may be agreed. 4.4. For groups, an isolated absence of a participant does not automatically generate an individual make-up. Schedule changes for the entire group will be coordinated by Learnix, preserving equivalent service.

5. Platform, AI and data

5.1. Access depends on the plan, period and permissions. AI tools may include text, voice, role-plays, exercises, feedback and recommendations, with usage allowances explicitly described in the Summary Sheet or annex. Features announced for the future are not considered contracted. 5.2. AI-generated content may contain inaccuracies and does not replace human assessments when required. Users must not enter third-party data, trade secrets or confidential documents without authorization. 5.3. Learnix will process personal data in accordance with the current Privacy Policy, applicable law and the purposes of performance, payment, tax compliance, support and learning. Private AI conversations will not be indiscriminately opened to teachers, employers or other students; corporate reports will observe purpose, authorization and permissions. 5.4. CPF/CNPJ, address and tax email will be used for registration and compliance with contractual/tax obligations. Authorized vendors may process payments, electronic signatures, storage and AI, under adequate contracts and security. 5.5. It is forbidden to share credentials, infringe third-party rights, record or disclose participants' image/voice without applicable authorization, distribute materials or use tools for harassment and fraud. Promotional use of image requires a prominent and separate authorization.

6. Changes and upgrades

6.1. A change of language, workload, frequency, group, plan, subsidy, price or period that modifies an essential condition requires express confirmation and, when necessary, an amendment, with start date, complementary charge/credit and electronic record. 6.2. Vouchers, individualized prices and discounts take effect only when expressed in the Summary Sheet and approved; renewal does not generate an automatic incentive.

7. Termination, notice and penalty

7.1. The parties may request termination. The request will be recorded in the portal or an official channel, with an immediate protocol number, not conditioned on negotiation, and with a financial statement made available within a reasonable time. 7.2. In early termination without cause by the contracting party, as a proposed contractual policy, 30 calendar days' prior notice applies, during which the services remain available and the fee is due only for the period effectively covered and legally enforceable, less advance payments. The notice cannot extend beyond the end date of the originally agreed term nor cause compulsory renewal. 7.3. After the notice ends, a compensatory penalty of 10% of the value of the monthly fees falling due exclusively for the period remaining after the notice, limited to the value of one current monthly fee, may apply. There is no charge for all future installments, nor retroactive recalculation of the service at the standalone price cumulatively with the penalty. 7.4. Amounts paid in advance for services not rendered, obligations effectively performed and valid adjustments will be part of the settlement, without unrestricted retention. Learnix will itemize credits, discounts, notice services and penalty, allowing contestation. 7.5. There will be no termination penalty or onerous notice in termination for cause due to material breach by Learnix, impossibility of equivalent offer attributable to Learnix or another legal case of termination without penalty. 7.6. There will be no penalty for ending at the natural end of the term. A new fixed-term contract requires specific acceptance; no loyalty renewal will be presumed. 7.7. LEGAL APPROVAL NOTICE: the enforceability of an onerous notice together with a penalty, especially in consumer relations, depends on concrete analysis of proportionality and the final wording; the possible nullity/reduction of one charge does not prevent recording the cancellation nor justify automatic collection of contested amounts.

8. Liability and service continuity

8.1. Each party is liable for its obligations and for damages to the extent provided by law. Learnix does not exclude liability for its own failure or for legally unavailable rights. 8.2. Security incidents, relevant unavailability and third-party failures will be managed through contingency plans and adequate communication; corrective measures, discounts or refunds will follow severity and the law.

9. Documentation, communication and signature

9.1. Communications will take place through the contacts provided and the portal. Notices with contractual impact will not be considered received merely by the technical delivery of a push notification. 9.2. This instrument may be signed electronically with an evidence trail, integrity, identification of signatories and custody of the accepted version. A copy may be downloaded by the contracting party. 9.3. Contract changes will be documented and the history kept in accordance with legal obligations and retention policy.

10. Additional consumer protections

10.1. In contracts made over the internet or outside the commercial establishment, the CONTRACTING PARTY may exercise the right of withdrawal within the legal period of 7 days, where applicable (art. 49 of the Consumer Protection Code), with full refund under the law, without an administrative fee or automatic deduction of card fees. The request may be made through the same tool used to contract and through the support channel. 10.2. Restrictive clauses, especially term, adjustment, 30-day notice and penalty, will be displayed prominently with informed acceptance before payment. The consumer may download the contract immediately. 10.3. Making services available during the notice period does not authorize double charging, nor invalidate the exercise of non-waivable rights. Any abuse may lead to review of the charges. 10.4. Upon departure of a partner company, benefits and subsidies do not automatically migrate to the individual. The student will receive a clear financial statement and may accept an amendment to take on the future installment, keep the partnership discount until the end of the term when offered, or exercise the legal/contractual option to cancel. 10.5. A new B2C group opens with five confirmed participants and has up to five participants. A group in progress admits at least three; below that, Learnix will manually analyze transfer, recomposition or an equivalent solution. If there is no adequate alternative, a solution without undue penalty will be determined. 10.6. In consumer relations, no exclusive venue is elected that removes the consumer's legal territorial jurisdiction rights.

Annex notes: prices are based on a commercial reference of four weekly classes per month, with no promise of a fixed monthly number of meetings. The group price does not imply a standard term: your contract must explicitly state 3, 6 or 12 months. An annual individual plan does not yet have an approved B2C table: select it only with a price expressly negotiated in the Summary Sheet; do not invent an annual discount. The Flex price is pay-per-class and does not presuppose a notice/penalty for a fixed term. AI is included only if the Summary Sheet defines a plan/allowance.
