TERMS OF USE — LEARNIX PLATFORM AND APP
Courtesy translation. The binding version is the Portuguese (pt-BR) text. In case of any divergence, the Portuguese version prevails.
Version: 1.0 — draft for legal review Date: October 14, 2026 Scope: website, student area, Teaching Workspace, HR portal, Learnix Admin, library, integrated assessment and Learnix AI.
Important. These Terms govern use of the platform. Prices, duration, schedule, specific financial rules, cancellation and benefits are set out in the Services Agreement or Summary Sheet accepted at contracting. In case of conflict, mandatory rules apply, and the specific contract governs the commercial conditions it individualizes, without reducing consumers' legal rights.
1. Identification and acceptance
The platform is provided by LEARNIX EDUCAÇÃO LTDA, CNPJ 52.628.506/0001-43, with a reference address at Rua XV de Novembro, 964, Centro, Curitiba/PR, [confirm current address], contact contato@learnixedu.com. By creating an account and accepting these Terms, you declare that you have read their conditions. The version and the electronic acceptance record will be preserved. A user acting on behalf of a company declares to have adequate authority to represent it.
2. Profiles and features
The platform may offer: (i) the student experience, including onboarding, schedule, classes, materials, progress, certificates and AI; (ii) the teacher environment for scheduling, planning, feedback and communication; (iii) a corporate portal for authorized managers; and (iv) Learnix administration. Not all features are included in every plan or available in every development phase. Actual availability is shown in the product or in the contract.
A user may have multiple languages, enrollments and relationships. An organization does not acquire ownership of the employee's personal account. Learnix may change technical components for maintenance, security and evolution, preserving contracted rights or offering an appropriate solution in case of a material change.
3. Account, credentials and security
Registration must contain true and up-to-date information. Access is personal, except for institutional accounts expressly authorized. Users must protect their credentials, report suspected compromise and avoid sharing the account. Learnix may apply additional authentication to higher-privilege roles. Misuse may result in proportionate measures, including temporary restriction after assessment, without prejudice to the user's rights.
4. Live classes and scheduling
Classes take place at agreed times and may use integrated or linked external tools such as Google Meet/Zoom. The rules on attendance, duration, rescheduling, holidays, make-up classes, absences and financial obligations are those described in the specific contract and summary sheet. For regular individual contracts, the commercial rule set by Learnix provides for cancellation requests at least 16 hours before the class and an eligible make-up class within 30 days of the original date, subject to availability and the conditions detailed in the contract. An individual absence in a group class does not automatically create an individual make-up class.
The system may automate reminders, but a notification failure does not, by itself, change scheduling rules or rights provided in the contract. Cancellations by the teacher or due to Learnix's responsibility must receive appropriate treatment, without unjustified harm to the student.
5. Plans, payment, contracts and benefits
Learnix may offer individual classes, groups, AI subscriptions, corporate products and standalone content. Billing, when performed through the platform, will be presented in advance with amount, currency, periodicity, duration, subsidy, discount and payer. Learnix's current contracts provide for advance monthly fees and the possibility of a pro-rated first charge for the initial period, according to the summary sheet.
Digital purchases take place in the web environment, according to the applicable flow and legislation. The app allows consuming contracted services and viewing authorized information; the manner of offering and directing users to contracting must respect the current rules of the app stores.
Custom prices, vouchers, international prices, co-payments, upgrades and amendments are valid only when approved and recorded in the specific contract or offer. The relationship between company and employee does not automatically transfer the company's debt to the student. International contracts may have external billing and documented administrative release.
Invoices and receipts, when required and issued, will be made available to the payer in the portal according to the tax integration and applicable rules. Required tax information may be requested during contracting onboarding.
6. Cancellation, withdrawal and refund
The commercial conditions for cancellation, notice, term, any proportional penalty and refund are set out in the specific contract and will be available before signing. Nothing in these Terms removes the legal right of withdrawal where applicable, including the period provided in art. 49 of the Brazilian Consumer Protection Code for contracts made outside the commercial establishment. Valid exercise of this right does not imply automatic retention of processing fees.
Cancelling a subscription or enrollment is different from deleting the account and personal data. Account deletion can be requested through the privacy area and the web channel, with information on legal preservation of documents and pending financial operations.
7. Learnix AI — features and limitations
Learnix AI may offer text and voice conversation, role-plays, corrections, exercises, micro-lessons, suggestions based on assessments and professional practice tools. The feature is not a person, a human teacher or a certified proficiency assessment service. Suggested answers and diagnoses may contain errors and do not replace pedagogical validation or specialized professional guidance. Learnix may set quotas for text, voice, files and usage per plan, disclosed before contracting and in account settings.
Simulations of interviews, meetings or well-known characters must be understood as fictional experiences, with no affiliation, endorsement or real statement by third parties. Users must not share confidential company data, third-party financial information, trade secrets or unnecessary sensitive data in simulations. Materials uploaded for presentation rehearsals are subject to the access, privacy and deletion rights specified in the Privacy Policy.
The tool must not be used to produce fraud, harassment, discrimination, intellectual property infringement, attempts to bypass technical limits or any unlawful conduct. Proportionate limits and security mechanisms may be applied.
8. User content and intellectual property
Pre-existing rights in documents, presentations, texts and other materials uploaded by the user remain with their respective owners. By uploading content, the user declares to hold the rights or authorization to use it and grants Learnix a limited, non-exclusive license necessary to process, store and display it solely to provide the contracted services, subject to the Privacy Policy and applicable deletion.
Learnix and its licensors retain rights over the brand, code, official materials, methods, interfaces, content and protected exercises. Access to the platform does not grant permission to sell, mass-copy or redistribute protected materials. Personal use of authorized materials remains in accordance with the plan and the law.
9. Communications, chat and community
Messages between teachers, students and the Learnix team must respect educational purpose and rules of respect. Users must not engage in harassment, spam, disclosure of others' data without authorization or sending of malicious files. Learnix may moderate reports and investigate violations proportionately and auditably, with privacy safeguards. Official changes to classes, payment or contract must be confirmed through the proper flows; an isolated chat message does not replace the required formalization.
10. Corporate users and permissions
HR and managers will receive access according to company authorization, their role and department. They may consult only indicators, enrollments, attendance, corporate financial data and pedagogical information legitimately made available. It is forbidden to attempt to access other organizations, export databases without authorization or use educational data for purposes incompatible with the contract and the LGPD. Private AI conversations are not made fully available to HR by default.
Removal of a corporate relationship may end the benefit funded by the organization. The student may continue studying on their own if there is an adequate contractual agreement. No corporate obligation will be imposed on the student without a valid contractual basis.
11. Teachers and providers
Teachers with access to the Teaching Workspace must observe confidentiality, respect for students, proper handling of data, class recording rules and copyright. Remuneration, service obligations, detailed confidentiality, ownership of materials and payments are governed by the teachers' specific contracts, not by these general Terms.
12. Privacy, device permissions and third parties
Data processing is governed by the Learnix Privacy Policy, available on the website and in the app. Microphone, camera, notification and file features depend on device permissions and, where necessary, confirmation in the flow itself. Users may manage permissions in the operating system settings. External class and payment tools may apply their own policies, which must be presented where relevant.
13. Availability, maintenance and support
Learnix will seek operational continuity and security and may perform scheduled or emergency maintenance. In case of relevant failures affecting the contracted service, adequate solutions will be assessed according to the contract and the law. There is no generic promise of uninterrupted operation or of specific learning results. Problems can be reported through contato@learnixedu.com or the support provided on the platform.
14. Measures for violations and remedies
In case of fraudulent use, security breach or prohibited behavior, Learnix may adopt proportionate prevention and containment measures, including limiting or suspending features when necessary. Whenever appropriate, it will state the reason and provide a channel to contest. The regular exercise of consumer and data subject rights will not be penalized.
15. Changes to the Terms
We may update these Terms to reflect legal, security or functionality changes. The version and date will be shown. Material changes will be communicated with reasonable notice where applicable and will not retroactively change the economic conditions of contracts already signed without legal grounds or a valid amendment.
16. Governing law and dispute resolution
These Terms follow applicable Brazilian law, including the Consumer Protection Code where relevant, the LGPD and other relevant rules. The parties will seek an amicable solution; any venue clause in a specific contract will not remove jurisdiction rights ensured by mandatory rules, especially consumer rights.
